1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of our B2B payment platform and all associated services, including creating invoices, raising NFTs on the Polygon network, and interacting with other users on the platform (collectively, the "Services"). These Terms are a binding legal agreement between you, the user, and Truffles Pte. Ltd. ("Truffles", "we", "us", or "our").
By accessing and using our Services, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms or our Privacy Policy, you should not use our Services.
Truffles reserves the right to update or modify these Terms at any time, and we will provide notice of such changes on our platform. Your continued use of our Services after any changes have been posted constitutes your acceptance of the updated Terms.
2. Eligibility
To use our Services, you must:
a. Have the legal capacity to enter into a binding contract;
b. Be authorized to operate and manage the account on behalf of the business seeking to use our Services;
c. Provide true and accurate information about yourself and your business as requested by us; and
d. Comply with all applicable laws and regulations in your jurisdiction.
By using our Services, you represent and warrant that you meet all of the above eligibility requirements. If you do not meet these requirements, you may not access or use our Services.

b. Engage in any conduct that is detrimental to the operation or reputation of our platform or Services;
c. Interfere with the proper functioning of our platform, including by transmitting or distributing viruses, worms, or other malicious code;
d. Attempt to gain unauthorized access to our platform, user accounts, or computer systems or networks;
e. Impersonate any person or entity or misrepresent your affiliation with any person or entity; or
f. Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of any part of our Services, except to the extent expressly permitted by applicable law.
5. Fees and Payments
Certain features of our Services may require you to pay fees as specified by Truffles. You agree to pay us all applicable fees for the use of our Services. All fees are non-refundable.
We reserve the right to change, suspend, or discontinue the Services, in whole or in part, at any time, without notice or liability to you.
6. Intellectual Property
All content, features, and functionality on our platform, including but not limited to text, graphics, logos, icons, images, audio clips, video, data, and software, are the exclusive property of Truffles or its licensors and are protected by international copyright, trademark, and other intellectual property laws.
No part of our platform may be reproduced, copied, distributed, modified, republished, or transmitted in any form or by any means without the prior written consent of Truffles, except as expressly permitted by these Terms or applicable law.
7. Third-Party Services and Links
Our platform may include links to, or integrations with, third-party websites or services. These third parties may have their own terms and conditions and privacy policies, which you should review before using their services. Truffles is not responsible for the content, products, services, or privacy practices of such third parties.
8. Disclaimers and Limitations of Liability
Our Services are provided "as is" and without any warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Truffles disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
In no event shall Truffles, its affiliates, or their respective officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, loss of business, loss of data, or any other losses arising from your use of or inability to use our Services, even if Truffles has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so certain provisions of these Terms may not apply to you. In such cases, Truffles' liability shall be limited to the fullest extent permitted by applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Truffles, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our Services.
10. Termination
We reserve the right to terminate your account and access to our Services at any time, for any reason, and without prior notice. You may also terminate your account and cease using our Services at any time.
Upon termination, all provisions of these Terms that should survive termination by their nature shall survive, including but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of Singapore. Any disputes arising out of or in connection with these Terms, your use of our Services, or your relationship with Truffles shall be subject to the exclusive jurisdiction of the courts of Singapore.
12. Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
The failure of Truffles to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Truffles.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Truffles regarding your use of our Services and supersede any prior agreements, understandings, or arrangements between you and Truffles.
No agency, partnership, joint venture, employee-employer, or franchisor-franchisee relationship is intended or created by these Terms.
